Terms and conditions

These terms govern your use of worldinvestx.com and any project submission, investment mandate, introduction or consulting service that follows from it. By using this website or sending us a project or mandate, you accept them.

In short

We are a private FDI consulting, research and matchmaking firm — not an exchange, broker, fund manager or investment adviser — and we do not accept, hold or deploy investor capital. We are paid a success fee by the party that engages us, only when a transaction closes, with a fee protection period after an introduction. No engagement exists between us until a written mandate is signed.

Parties and definitions

These terms are between you and the World Investment Exchange Office ("WIEO", "we", "us"), operated by [legal entity name], registered in [jurisdiction] under company number [number], registered office [address], VAT or tax number [number].

In these terms: Project means an investment-ready opportunity submitted to or originated by us; Sponsor means a government body, IPA, developer, operator or company promoting a Project; Investor means a family office, investment company, corporate, institutional or private investor registering a mandate with us; Mandate means an Investor's stated investment criteria; Introduction means any disclosure by us of a Project to an Investor or of an Investor to a Sponsor, in either direction and in any form; Transaction means any investment, acquisition, joint venture, loan, subscription, lease, concession, licence or other commercial arrangement resulting directly or indirectly from an Introduction.

Acceptance and scope

By accessing this website, submitting the enquiry form, sending us a Project or Mandate, or accepting an Introduction, you accept these terms and our disclaimer, which forms part of them. If you do not accept them, do not use the site or send us material.

These terms cover website use and the preliminary stage of any relationship. Paid services are governed by a separate signed engagement letter or mandate agreement; where that document conflicts with these terms, the signed document prevails for the services it covers.

Our services

Subject to a signed engagement, our services may include: origination and screening of Projects from IPAs, governments and Sponsors; registration and qualification of Investor Mandates; matching and structured Introductions; market and sector research; site and location search; introductions to authorities, operators and local advisers; guidance on company establishment, licensing and expansion; identification of debt, equity and co-investment routes; identification of applicable subsidies, grants and incentive schemes; talent-pool and cost benchmarking; and coordination support through diligence to closing.

We provide these services with reasonable skill and care on a best-efforts basis. We do not guarantee that any Project will be funded, that any Mandate will be filled, that any Introduction will be accepted, or that any Transaction will close on any timeline or at all.

Our status and limits

WIEO is a commercial intermediary. We are not a securities exchange or trading venue, not a broker-dealer or placement agent, not a fund or fund manager, not an investment or financial adviser, not a bank, payment institution, custodian or escrow agent, and not a government body or official investment promotion agency. We do not accept investments and we do not receive, pool, hold, manage or transfer investor money or assets at any point. Full detail is in the disclaimer.

Nothing we provide is investment, legal, tax, regulatory or accounting advice, and no Introduction is a recommendation or endorsement. You act on your own independent professional advice and your own due diligence.

Who may use the site

This site and our services are for persons aged 18 or over acting in a business, institutional or public-sector capacity, not as retail consumers. By using them you confirm that you are authorised to act for the organisation you name, that your use is lawful in your jurisdiction, and that you are not a person to whom our services may not lawfully be provided.

Use of the website

You may view, download and print pages of this website for your own internal business assessment. You may not:

  • scrape, harvest, mirror, frame or systematically extract content, or use it to train machine-learning models;
  • republish, resell or commercially exploit our content, project summaries or research without our written consent;
  • introduce malicious code, attempt unauthorised access, or interfere with the site's operation or security;
  • misrepresent yourself, your organisation or your authority, or hold yourself out as acting for or in partnership with WIEO;
  • use the site or any Introduction for any unlawful purpose, including fraud, money laundering, sanctions evasion or tax evasion.

The enquiry form opens your own email client with the details you entered; the form itself stores no data on the page. Availability of the site is not guaranteed and we may change, suspend or withdraw any part of it without notice.

Intellectual property

All content on this website and in our research, teasers, templates, models, methodology and presentations — including text, structure, graphics, the "World Investment Exchange Office" name and mark, and the site's design — is owned by us or our licensors and protected by intellectual property law. No licence is granted except the limited internal-use right in clause 6. Third-party names, logos and marks remain the property of their owners and their use identifies a project or source only.

Project and mandate submissions

When you submit a Project, a Mandate or any supporting material, you warrant that:

  • the information is accurate, complete and not misleading at the time of submission, and you will tell us promptly if it changes materially;
  • you are authorised to submit it and to have it disclosed to matched counterparties on a confidential basis;
  • you own or have the rights to all documents, data, images and third-party information included, and their disclosure to us and to matched counterparties breaches no duty of confidence, contract, privacy or data protection law;
  • the Project is not subject to undisclosed litigation, insolvency, sanctions, criminal investigation or regulatory prohibition.

You grant us a non-exclusive, royalty-free licence to store, assess, summarise and disclose the material to counterparties we consider matched, and to our own advisers, for the purpose of pursuing a Transaction. We may prepare anonymised teasers and aggregated market statistics from submitted material. We are not obliged to accept, progress, circulate, store or return any submission, and we accept no responsibility for unsolicited material.

Screening and right to decline

We screen Projects, Sponsors and Investors commercially before any Introduction. Screening is a commercial filter, not an audit, legal opinion, valuation or verification of identity, title or solvency, and it creates no duty of care to any party relying on it.

We may decline, pause or withdraw from any Project, Mandate, Introduction or relationship at our discretion and without giving reasons — including where we cannot place a Project, where the jurisdiction, sector, sponsor or structure falls outside our risk appetite, or where our compliance checks are not satisfied.

Engagement, exclusivity and conflicts

No client, agency, fiduciary, partnership or joint-venture relationship arises from website use, correspondence, a meeting or a submission. We act for you only under a signed engagement letter or mandate agreement, which will state the scope, the fee, the term, the territory and any exclusivity.

Unless expressly agreed in writing, our appointment is non-exclusive and we may act concurrently for other Projects and other Investors, including in the same sector, market or transaction type. We may receive fees from more than one party in a Transaction only where that is disclosed in writing to the parties concerned. We are not obliged to disclose the identity of, or information belonging to, other clients.

We have no authority to negotiate, agree, sign, accept funds or make representations on your behalf, and we are not a party to any Transaction between a Sponsor and an Investor.

Fees and payment

No retainer

We charge no upfront retainer, listing fee, subscription, marketing charge or advisory minimum for origination and matchmaking. Where a separately scoped work product is commissioned — a bespoke market study, or an extended in-country programme — any fee for it is agreed in writing in advance.

Success fee

Our fee is success-based and becomes payable by the engaging party when a Transaction closes. "Closes" means the point defined in the signed engagement — typically first drawdown, completion of the investment, signature of the definitive agreement, or receipt of funds by the Sponsor, whichever the engagement specifies. The fee is normally a percentage of the committed or invested amount, set out in the engagement, and applies to Transactions in the indicative €2M–€20M range and above.

Payment terms

Invoices are payable within [14 / 30] days of issue, in the invoice currency, in full and without set-off, deduction or withholding. Taxes, VAT, bank charges and any withholding are for the payer's account. Late amounts carry interest at [rate] per annum or the statutory rate, whichever is higher, together with reasonable recovery costs. The fee is earned once a Transaction closes and is not refundable if the Transaction is later varied, delayed, restructured or terminated.

Fee protection period

The success fee is payable if a Transaction closes within [24] months of the last Introduction, whether or not our engagement has ended, and whether the Transaction completes with the introduced party, an affiliate, a nominee, a successor, or a person who learned of the opportunity through the introduced party. Where a Transaction includes staged, deferred, follow-on or expansion investment with the introduced party, the fee applies to those amounts as they are committed.

Non-circumvention

You will not circumvent, bypass or exclude us from a Transaction arising from an Introduction, and will not use an affiliate, employee, nominee, adviser or related party to do so. You will keep us informed of the progress of any Transaction following an Introduction and will notify us promptly of signature and closing. Where a Transaction closes without disclosure to us in breach of this clause, the fee that would have been payable remains due, together with our reasonable costs of recovery.

Confidentiality

Project and Mandate details are held in confidence and shared only with counterparties we consider matched, and with our own advisers on a need-to-know basis. Each party will keep the other's confidential information confidential, use it only to assess and pursue a Transaction, and protect it with no less care than its own.

Information disclosed through an Introduction — including identities, economics, documentation and the fact of the Introduction — may not be passed to any third party, or used for any purpose other than the Transaction, without our written consent. These obligations survive for [3] years after the relationship ends and do not apply to information that is public through no breach, independently developed, or required to be disclosed by law or a competent authority. Where a separate NDA is signed, that NDA prevails.

Data protection

We process personal data to assess fit, make Introductions, meet our compliance obligations and maintain our records. How we do that, the lawful bases we rely on and your rights are set out in our privacy policy, which forms part of these terms.

Where a Sponsor or Investor supplies personal data about third parties — directors, beneficial owners, team members — that party is responsible for having a lawful basis to share it with us and for informing those individuals.

AML, sanctions and source of funds

We apply know-your-client and integrity checks proportionate to the engagement, and may request identity documents, corporate structure and beneficial-ownership information, evidence of source of funds and wealth, and sanctions and PEP screening, on you and on your counterparties.

You confirm that you are not, and are not controlled by or acting for, a person subject to UN, EU, UK, US or other applicable sanctions, that funds involved are from lawful sources, and that you will comply with all applicable anti-money-laundering, counter-terrorist-financing and sanctions law. We may suspend or terminate immediately, withhold an Introduction, and make any report required by law, without liability to you, if these checks are not satisfied or if we suspect a breach.

Anti-bribery

Both parties will comply with all applicable anti-bribery and anti-corruption law. We do not offer, pay, request or accept bribes, facilitation payments or improper inducements — including to or from public officials, IPA staff or agency representatives — and we will not act for any party that asks us to. Our fee is payable only as set out in the signed engagement.

Warranties and disclaimers

The website, our research and all material we circulate are provided "as is" and "as available". To the fullest extent permitted by law we exclude all implied warranties, including accuracy, completeness, merchantability, fitness for a particular purpose and non-infringement. Much of the information we pass on originates with Sponsors, IPAs, authorities and public sources; we do not audit it and give no warranty as to it. Incentives, subsidies, permits, tax treatment and land availability are determined solely by the competent authority. Forward-looking figures are assumptions, not promises, and no return, exit, approval, residence right or citizenship is guaranteed.

Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for lost profit, lost opportunity, lost funding, loss of anticipated savings, loss of data, business interruption or reputational harm, however arising.

Our total aggregate liability arising from or connected with these terms, the website, any Introduction or any engagement is limited to the greater of the fees actually paid to us by you in the twelve months before the claim and [EUR 10,000]. Where no fees have been paid, our liability is limited to that amount.

We are not liable for the acts, omissions, solvency, honesty, performance or default of any Sponsor, Investor, authority, escrow provider, bank, adviser or other counterparty, nor for any Transaction you enter into. Nothing here excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot lawfully be excluded.

Indemnity

You will indemnify us against all losses, damages, liabilities, fines and reasonable costs (including legal fees) arising from: your breach of these terms; the inaccuracy of any information you submit; any third-party claim relating to material you gave us or to a Transaction you entered into; your breach of confidentiality, data protection, sanctions, anti-money-laundering or anti-bribery obligations; or any circumvention under clause 12.

Term and termination

These terms apply while you use the website and while any submission, Mandate or engagement is live. Either party may end the pre-engagement relationship at any time in writing. Termination does not affect accrued rights, and clauses 11 (fees, including the protection period), 12 (non-circumvention), 13 (confidentiality), 14 (data protection), 18 (liability), 19 (indemnity) and 22 (law and disputes) survive.

General

These terms, together with the disclaimer, the privacy policy and any signed engagement, are the entire agreement between us on their subject matter and supersede earlier discussions. No failure to enforce a right waives it. If any provision is unenforceable it is severed and the rest continues. You may not assign or transfer your rights without our written consent; we may assign to a successor or affiliate. Neither party is liable for failure caused by events beyond its reasonable control. No third party has rights under these terms. Notices are valid by email to [email protected] and to the address you last gave us. The English version prevails over any translation.

Law and disputes

These terms are governed by the laws of [governing jurisdiction, e.g. Hungary]. The parties will first attempt to resolve any dispute by good-faith discussion within 30 days of written notice. Failing that, the dispute is subject to [the exclusive jurisdiction of the courts of Budapest, Hungary] or, if elected in the engagement, [final and binding arbitration under the rules of [institution], seated in [city], in English, before one arbitrator]. Nothing prevents either party from seeking urgent injunctive relief in any competent court. Any mandatory protection available to you under the law of your place of residence is unaffected.

Changes to these terms

We may update these terms by publishing a revised version on this page with a new "last updated" date. The version in force is the one published when you use the site or submit material. Material changes do not apply retrospectively to a signed engagement.
